Nocrai is a practice of HamptonTCI Limited, a company incorporated in Hong Kong (registered address: Mezzanine Floor, Sun House, 90 Connaught Road Central, Sheung Wan, Hong Kong) (“HamptonTCI”, “we”, “us”, “our”). Your sole contractual counterparty for all platform access, rights, obligations, disclaimers, and liabilities under these Terms is HamptonTCI Limited.
By purchasing platform access or using any Nocrai tool, you agree to be bound by these Terms. If you do not agree, do not purchase or use the platform.
If you are purchasing on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
Nocrai offers two product tiers. All purchases are one-time payments for ongoing access — there is no subscription or recurring charge.
The previous four-tier structure (Operator Pro, Strategist Pro, Bonus Pro, Starter Pro) has been retired. If you purchased under the previous structure, your access rights are preserved — contact us at support@nocrai.com if you have any questions about your existing access.
Access to both Starter Pro and Nocrai Pro is via email verification only. There are no passwords. On your first visit you enter your email address and receive a 6-digit verification code. Entering the correct code establishes a 30-day authenticated session. Your business profile and diagnostic results are stored securely and restored automatically on any device once you verify your email.
For Nocrai Pro, purchase is completed via Lemon Squeezy. Once payment is confirmed, your email address is linked to Nocrai Pro access. Verification via email establishes your session and unlocks all paid diagnostics — no separate credentials are issued.
The price for each product is as stated on the Nocrai pricing page at the time of purchase. All prices are in US Dollars (USD) unless otherwise stated at checkout.
Payment is processed by Lemon Squeezy, our third-party payment provider. HamptonTCI does not store your payment card details. By completing a purchase you also agree to Lemon Squeezy’s terms of service and privacy policy.
All prices are exclusive of applicable taxes including VAT, GST, and sales tax. Where applicable, tax will be calculated and added at checkout. You bear all currency conversion risks and any associated bank fees where your payment currency differs from USD.
Platform access is activated once payment is confirmed by Lemon Squeezy. Your registered email address is automatically linked to Nocrai Pro access. You access the platform via email verification — no separate credentials are issued.
General policy: Nocrai products are non-refundable once platform access has been activated. Digital access is granted immediately upon payment confirmation.
If you are a consumer resident in the United Kingdom or the European Union, you have a statutory right to cancel within 14 days of purchase without giving any reason. By completing your purchase and receiving email verification of access, you acknowledge that digital content delivery has begun with your agreement before the cooling-off period expires and that your right to cancel without charge is accordingly lost from that point.

Nothing in these Terms excludes or limits any statutory rights you may have under applicable consumer protection legislation in your jurisdiction. If you are uncertain about your rights, seek independent legal advice.
Nocrai makes the Starter Pro diagnostics (Contribution Margin, CAC Payback, NRR, and Financial Clarity Check) available free of charge at nocrai.com/tools/. No login is required. These tools are provided for informational and educational purposes only.
Nocrai is a self-serve digital platform. Nothing on nocrai.com, and no output from any Nocrai tool — free or paid — constitutes financial advice, accounting advice, tax advice, legal advice, investment advice, or any other form of regulated professional advice.
All tool outputs are projections based solely on the figures you enter. HamptonTCI does not warrant the accuracy, completeness, or mathematical correctness of any tool output. Actual outcomes may differ materially from any projection. You agree not to make financial or business decisions based solely on Nocrai tool outputs, and you are solely responsible for verifying all outputs before placing reliance on them.
These tools are not certified for regulatory compliance including tax, audit, or financial reporting purposes. You may not rely on them for any compliance obligation.

Access to Nocrai is authenticated via email verification only. There are no passwords. When you access the platform or begin a new session, you enter your email address and receive a 6-digit verification code by email. Entering the correct code establishes a 30-day authenticated session. Your email address is your sole account identifier.
Platform access is personal to you or the entity named on your order. You are responsible for maintaining access to the email address registered with your account.
Subject to your compliance with these Terms and payment of all applicable fees, HamptonTCI grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Nocrai platform and tools within your purchased tier solely for your own internal business purposes.

This licence does not permit reproduction, adaptation, distribution, reverse engineering, or sublicensing of any Nocrai platform, tool, or methodology. It terminates automatically upon any material breach of these Terms or upon termination of your access.
No ownership of the platform, tools, or any outputs passes to you. Tool outputs are licensed for your internal use only — see section 10.

Violation of any of the above is a material breach of these Terms and may result in immediate suspension or termination of your access without refund.
HamptonTCI Limited retains full and exclusive ownership of all Nocrai platform tools, calculators, methodologies, frameworks, software, content, and visual design (collectively “Nocrai IP”). Nothing in these Terms transfers any ownership of Nocrai IP to you.
Tool outputs — the results generated by running the diagnostic tools on your own data — are licensed to you for your own internal business use only. You may not share tool outputs with any third party who will place reliance on them without first notifying that third party in writing that the output was produced by a self-serve digital tool and may not be relied upon as professional advice.
HamptonTCI may use anonymised, aggregated, and non-identifiable data derived from platform usage for benchmarking, research, and improvement of the platform’s methodology. No personally identifiable information or client-specific data will be disclosed in any way that identifies you without your prior written consent.
HamptonTCI may suspend or permanently revoke your access to the platform immediately and without liability if:
Effect of termination: All rights granted under these Terms cease immediately. You must stop using the platform. HamptonTCI has no obligation to provide data exports following termination for breach.
Voluntary cessation: If you choose to stop using the platform, your access rights simply lapse. No refund applies to a one-time access purchase.
Suspension or termination is without prejudice to any accrued rights or liabilities.
HamptonTCI reserves the right to update, modify, enhance, or reconfigure any platform tool at any time. Minor updates and bug fixes may be made without notice. We will provide reasonable advance notice of material changes to a tier’s functionality.
We do not warrant uninterrupted or error-free access to the platform. We will use reasonable endeavours to maintain platform availability.
Discontinuation: If HamptonTCI decides to permanently discontinue a product tier, we will provide not less than 60 calendar days’ written notice to the email address registered at purchase. No termination fee will apply.
HamptonTCI is not in breach of these Terms where any failure to provide platform access arises from circumstances beyond our reasonable control, including cyberattacks, third-party platform outages, internet infrastructure failure, acts of government, or natural events.
HamptonTCI warrants that: (a) it has the right to grant the licences set out in these Terms; and (b) the platform will perform materially in accordance with its published description. We do not warrant that the platform will be uninterrupted, error-free, or suitable for any particular purpose. To the fullest extent permitted by law, all other implied warranties are excluded.
To the fullest extent permitted by law, HamptonTCI’s total aggregate liability for any claim arising out of or relating to these Terms or your use of the platform shall not exceed the total fees paid by you to HamptonTCI in the twelve months preceding the claim. For a one-time access purchase, this cap equals the purchase price paid.
HamptonTCI shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, loss of data, losses arising from reliance on tool outputs, or third-party claims — even if advised of the possibility of such damages.
Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by applicable law. Nothing in these Terms excludes or limits any statutory rights you may have under applicable consumer protection legislation.
You agree to indemnify, defend, and hold harmless HamptonTCI and its directors, employees, and agents from any claims, losses, damages, costs, or expenses (including reasonable legal fees) arising out of or relating to:
This indemnity survives termination of these Terms.
HamptonTCI processes your personal data in accordance with our Privacy Policy, which is incorporated into these Terms by reference and is available at nocrai.com/privacy. By purchasing platform access or using any Nocrai tool, you acknowledge that you have read and understood the Privacy Policy.
The platform tools process financial data entirely within your browser. We do not receive, store, or see any numbers you enter into the diagnostic tools. The personal data we hold about you is limited to the information received from Lemon Squeezy on purchase (your name, email address, product purchased, and transaction reference) and any information you provide when contacting us directly.
This policy forms part of these Terms and applies to all users of the platform and free tools.
You may not, nor may you permit any other person to, use the platform or tools in any manner that:
If HamptonTCI reasonably determines that you have violated this policy, we may: issue a written warning; temporarily suspend your access; permanently terminate your access without refund; pursue legal remedies including injunctive relief or damages; and/or report unlawful activity to relevant authorities.
If you become aware of any violation of this policy, please report it immediately to legal@hamptontci.com.
HamptonTCI does not provide platform access to any person or entity that is: (a) the subject of sanctions imposed by the United Nations, the European Union, the United Kingdom, the United States, Hong Kong, or any other applicable jurisdiction; (b) located or resident in a sanctioned territory; or (c) a Politically Exposed Person (PEP) whose involvement presents an unacceptable legal, regulatory, or reputational risk to HamptonTCI.
By purchasing access or using the platform, you warrant that you are not a sanctioned person or entity and that you are not a PEP whose access would expose HamptonTCI to unacceptable risk. You agree to notify us immediately at legal@hamptontci.com if your status changes.
HamptonTCI may terminate your access immediately and without refund if it determines, at any time, that you are a sanctioned person, are located in a sanctioned territory, or are a PEP presenting unacceptable risk. This right survives completion of any purchase.
These Terms are governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of laws principles.
Disputes: The parties will first attempt to resolve any dispute by good faith negotiation for not less than 21 calendar days from written notice of the dispute. If unresolved, either party may refer the dispute to the courts of Hong Kong, which shall have exclusive jurisdiction.
HamptonTCI may amend these Terms from time to time. If we make material changes, we will: (a) post the updated Terms on this page; and (b) notify you by email to your registered address. Continued use of the platform after the effective date of any amendment constitutes your acceptance of the updated Terms. No amendment will reduce your accrued rights at the date of the amendment.
